1. Agreement to Terms

Welcome to Lootkey ("Company," "we," "our," or "us"). By accessing or using our website at lootkey.gg (the "Site") and purchasing our products, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Site.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes acceptance of the new Terms.

2. Eligibility

You must be at least 18 years old to use our services. By using our Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Lootkey sells digital products including but not limited to:

  • Digital game activation keys (CD keys)
  • Gift cards and store credits
  • Software licenses
  • Subscription codes
  • In-game currency and items

All products are delivered digitally. We do not sell or ship physical products. Product availability, pricing, and specifications are subject to change without notice.

4. Account Registration

You may be required to create an account to make purchases or access certain features. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Orders and Payment

  • Prices are displayed in your selected currency and include applicable fees
  • Payment must be made in full at the time of purchase

We reserve the right to refuse or cancel any order at our discretion, including orders that appear to be fraudulent or violate these Terms. If your order is canceled, you will receive a full refund.

6. Digital Delivery

Upon successful payment, your digital product will be delivered instantly via email and/or displayed on our website. Delivery times may vary in rare cases due to manual verification or technical issues. If you do not receive your product within 24 hours, please contact our support team.

You are responsible for ensuring that your email address is correct and that our emails are not blocked by spam filters. We are not responsible for delivery failures caused by incorrect contact information.

7. Refund Policy

Due to the digital nature of our products, all sales are final. Once a digital key or code has been delivered, it cannot be refunded. Please review our complete Refund Policy for detailed information about our refund process and limited exceptions.

8. Acceptable Use

You agree not to use our Site or services to:

  • Violate any applicable laws or regulations
  • Engage in fraudulent activity or use stolen payment methods
  • Resell products purchased from us without authorization

Game keys and software licenses sold through our Site are subject to the terms and conditions of their respective publishers and platforms.

Our Site may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of use of any third-party sites. Your interactions with third-party services are governed by their own terms and policies.

11. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant that digital products will be compatible with your hardware, software, or network configuration.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOTKEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Lootkey and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. If we cannot resolve the dispute informally, either party may proceed as described below.

14.2 Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF THE SITE, OR ANY PRODUCTS PURCHASED THROUGH THE SITE, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES THEN IN EFFECT. THE ARBITRATION SHALL BE CONDUCTED BY A SINGLE ARBITRATOR, IN THE ENGLISH LANGUAGE, AND SHALL TAKE PLACE IN THE STATE OF DELAWARE OR, AT YOUR ELECTION, MAY BE CONDUCTED REMOTELY (BY VIDEOCONFERENCE, TELEPHONE, OR ONLINE).

The arbitrator shall have exclusive authority to resolve all disputes, including issues of arbitrability, and shall apply Delaware law consistent with the Federal Arbitration Act. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Arbitration Fees

For claims of $10,000 or less, Lootkey will reimburse your AAA filing fees and pay the arbitrator's fees and expenses. For claims above $10,000, filing fees, arbitrator compensation, and expenses shall be allocated in accordance with the AAA Consumer Arbitration Rules. Each party shall bear its own attorneys' fees unless the arbitrator awards them to the prevailing party under applicable law.

14.4 Class Action and Jury Trial Waiver

YOU AND LOOTKEY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

YOU AND LOOTKEY EACH WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS.

14.5 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limit. Additionally, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

14.6 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of your first purchase or account creation, whichever occurs first. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, neither party is prevented from pursuing disputes in court, subject to the other provisions of these Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Lootkey regarding your use of the Site and supersede all prior agreements and understandings.
